Welcome to Gallery14 NYC. These Terms of Service (“Terms”) govern your access to and use of https://gallery14nyc.com/ (the “Website”), which is operated by Gallery14 NYC (“Gallery14,” “we,” “us,” or “our”).
By accessing or using the Website, you agree to these Terms. If you do not agree with these Terms, please do not use the Website.
1. About Gallery14
Gallery14 operates an event and exhibition venue located at: 342 W 14th St New York, NY 10014 The Website provides information about Gallery14, its venue, event and exhibition opportunities, related services, and ways to contact us regarding potential bookings. The Website currently describes the venue as a space for activities including exhibitions, fashion shows, brand activations, product launches, private events, trade shows, and other experiences.2. Website Use
You may use the Website only for lawful purposes and in accordance with these Terms. You agree not to:- Use the Website in violation of any applicable law or regulation
- Attempt to gain unauthorized access to the Website or its systems
- Interfere with the Website’s operation or security
- Introduce malicious code, viruses, or other harmful material
- Scrape, copy, reproduce, or systematically extract Website content without permission
- Impersonate another person or entity
- Submit false, misleading, fraudulent, or unauthorized information
- Use the Website to distribute spam or unsolicited commercial communications
- Use the Website in a manner that could damage Gallery14 or its reputation
3. Event Inquiries and Bookings
Submitting an inquiry through the Website does not, by itself, create a binding venue reservation or rental agreement. Event dates, pricing, availability, services, access times, capacity, production requirements, insurance requirements, payment terms, cancellation terms, and other booking conditions are subject to confirmation by Gallery14. A venue booking becomes effective only when Gallery14 has accepted the booking and the parties have entered into any required booking agreement, rental agreement, invoice, proposal, or other applicable documentation. If there is a conflict between these Website Terms and a separate written venue rental or event agreement signed by the parties, the signed venue agreement will control with respect to that event.4. Venue Information
We make reasonable efforts to ensure that information displayed on the Website is accurate and current. However, venue specifications, capacity, availability, hours, services, equipment, pricing, layouts, photographs, and other information may change. Website photographs and visualizations may not represent the exact configuration of a particular event. Venue capacity and permissible event activities may be subject to applicable laws, permits, fire-safety requirements, building requirements, insurance requirements, and Gallery14’s policies. The Website currently describes event hours as generally running from 8:00 AM to 10:00 PM, but actual access and event hours are subject to the applicable booking agreement.5. Event Rules and Requirements
Clients and event organizers are responsible for complying with all applicable laws, regulations, permits, licenses, venue rules, and requirements relating to their event. Depending on the event, Gallery14 may require:- Certificates of insurance
- Event insurance
- Additional insured documentation
- Permits or licenses
- Security arrangements
- Vendor information
- Production plans
- Load-in and load-out schedules
- Compliance with capacity limits
- Compliance with applicable alcohol-service requirements
6. Alcohol
Unless expressly agreed otherwise in writing, Gallery14 does not represent that a particular event is authorized to sell or serve alcohol. Any alcohol service must comply with applicable laws, licenses, permits, insurance requirements, and Gallery14 policies. Clients are responsible for obtaining any licenses, permits, insurance, vendors, or other approvals required for their event.7. Payments and Cancellation
The Website may provide general information about Gallery14 but does not establish specific pricing, deposits, payment schedules, cancellation rights, refunds, or other financial terms. Those terms will be established in the applicable booking agreement, proposal, invoice, or other written agreement between Gallery14 and the client.8. Client Responsibilities
Clients and event organizers are responsible for their guests, employees, contractors, vendors, exhibitors, invitees, equipment, displays, artwork, merchandise, and other property brought onto the premises. Clients must ensure that their event and activities do not:- Exceed permitted capacity
- Damage the venue or property
- Create unreasonable safety risks
- Violate applicable laws or regulations
- Interfere with other building occupants or neighboring properties
- Create unauthorized noise, hazardous conditions, or unsafe installations
- Infringe third-party intellectual-property or other legal rights
9. Intellectual Property
The Website and its contents, including text, photographs, graphics, logos, branding, designs, videos, layouts, and other materials, are owned by or licensed to Gallery14 or its respective content providers and are protected by applicable intellectual-property laws. Except as expressly permitted by law or authorized by Gallery14 in writing, you may not reproduce, distribute, modify, publicly display, publicly perform, publish, sell, license, or create derivative works from Website content. You may view and use the Website for legitimate personal or business purposes related to evaluating or communicating with Gallery14.10. User-Submitted Information
If you submit information, text, photographs, files, or other materials to Gallery14 through the Website, you represent that you have the right to provide that material and that doing so does not violate the rights of another person or entity. 13. Limitation of Liability
To the maximum extent permitted by applicable law, Gallery14 and its owners, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to your use of the Website. To the maximum extent permitted by law, Gallery14’s aggregate liability arising out of your use of the Website will not exceed the greater of (a) the amount you paid to Gallery14 specifically for use of the Website during the twelve months preceding the event giving rise to the claim, or (b) $100. This limitation does not apply to liability that cannot lawfully be limited or excluded. Separate venue bookings and events may be governed by different liability provisions contained in the applicable written agreement.14. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Gallery14 and its owners, employees, contractors, affiliates, and service providers from claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:- Your violation of these Terms
- Your misuse of the Website
- Your violation of applicable law
- Information or materials you submit without the necessary rights or permissions
- Your violation of another person’s rights
- Your event, if applicable, to the extent addressed by the applicable venue agreement
